0. Vooraf – Toepasselijk regime (B2C & B2B)

0.1 Deze voorwaarden bevatten twee regimes binnen één document: Regime A (Consument/B2C) en Regime B (Zakelijke Klant/B2B).

0.2 Indien de klant kwalificeert als Consument, geldt Regime A. Indien de klant kwalificeert als Zakelijke Klant, geldt Regime B.

0.3 Waar een bepaling voor beide regimes geldt, staat dit niet apart vermeld. Waar een bepaling uitsluitend geldt voor B2C of uitsluitend voor B2B, wordt dit expliciet aangegeven.

0.4 Voor consumenten gelden deze voorwaarden uitsluitend voor zover zij niet afwijken van dwingend consumentenrecht. Bij strijdigheid prevaleert het dwingend recht.


1. Definities, identiteit en toepasselijkheid

1.1 Definities

a) Onderneming: The Dutch Snackbar B.V., inclusief alle handelsnamen, labels, gelieerde webshops en domeinen die door haar worden geëxploiteerd.

b) Klant: de natuurlijke persoon of rechtspersoon die met de Onderneming een Overeenkomst aangaat.

c) Consument (B2C): een natuurlijke persoon die handelt voor doeleinden buiten zijn handels-, bedrijfs-, ambachts- of beroepsactiviteit.

d) Zakelijke Klant (B2B): iedere rechtspersoon of natuurlijke persoon die handelt in de uitoefening van beroep of bedrijf, alsmede instellingen of organisaties die niet als Consument kwalificeren.

e) Overeenkomst: iedere overeenkomst op afstand of anderszins tussen Onderneming en Klant met betrekking tot Producten en/of Diensten.

f) Producten: alle aangeboden goederen, waaronder maar niet beperkt tot houdbare levensmiddelen, gekoelde producten, diepvriesproducten, verse producten, non-food artikelen, exportproducten en merchandise.

g) Bederfelijke Producten: Producten waarvan kwaliteit of veiligheid afhankelijk is van tijd, temperatuur en opslag, waaronder diepvries, gekoeld en vers.

h) Diensten: aanvullende diensten zoals routelevering, prioriteitsverwerking, exportafhandeling, documentatie, herverzending en klantenservice-ondersteuning.

i) Exportzending: iedere zending buiten Nederland, inclusief zendingen binnen en buiten de EU.

j) Voorbereidingsfase: de fase waarin Onderneming start met een of meer van picking, verpakken, koel- of vriesverwerking, routeplanning, labelaanmaak, carrier-booking, DG- of temperatuurverpakking, export- of douanevoorbereiding en/of het aanvragen of indienen van exportdocumenten.

k) DG- of temperatuurverpakking: middelen voor temperatuurbehoud of wettelijke transportvereisten, zoals isolatie, koelelementen, indicatoren, dataloggers en waar toepasselijk DG-procedures.

l) Officieel communicatiekanaal: e-mail naar info@dutchsnackbar.com en/of een officieel supportformulier of ticketsysteem op de website.

1.2 Toepasselijkheid

1.2.1 Deze voorwaarden zijn van toepassing op alle aanbiedingen, bestellingen, betalingen, leveringen, diensten en overige rechtsbetrekkingen tussen Onderneming en Klant.

1.2.2 Afwijkingen zijn alleen geldig indien Onderneming deze uitdrukkelijk en schriftelijk bevestigt, waaronder per e-mail.

1.2.3 Algemene inkoop- of andere voorwaarden van de Klant worden uitdrukkelijk van de hand gewezen, tenzij Onderneming deze schriftelijk accepteert.

1.3 Rangorde bij tegenstrijdigheid

Bij tegenstrijdigheid geldt de volgende rangorde van hoog naar laag:

a) schriftelijke offerte of orderbevestiging voor zover specifiek en uitdrukkelijk,

b) deze Servicevoorwaarden,

c) Verzend- & Bezorgbeleid (Shipping/Delivery Policy),

d) Retour- & Terugbetalingsbeleid (Refund Policy),

e) overige website-informatie, productpagina’s en marketinguitingen.

De Privacyverklaring regelt uitsluitend gegevensverwerking en wijzigt geen leverings-, prijs- of betalingsafspraken.

1.4 Wijziging van voorwaarden

1.4.1 Onderneming mag deze voorwaarden wijzigen. De actuele versie staat gepubliceerd op de website.

1.4.2 Wijzigingen gelden niet met terugwerkende kracht voor reeds gesloten Overeenkomsten, tenzij dwingend recht dit vereist of de Klant daarmee schriftelijk instemt.


2. Aanbod, totstandkoming en kennelijke fouten

2.1 Aanbod en informatie

2.1.1 Aanbiedingen zijn vrijblijvend, tenzij uitdrukkelijk anders vermeld.

2.1.2 Onderneming streeft naar correcte productinformatie, waaronder ingrediënten, allergenen, gewichten, herkomst en houdbaarheid. Leveranciers- of batchwijzigingen kunnen voorkomen. Wettelijke informatieplichten blijven onverkort gelden.

2.2 Totstandkoming Overeenkomst

2.2.1 Een bestelling door Klant geldt als aanbod. De Overeenkomst komt tot stand zodra Onderneming de bestelling bevestigt en betaling is geautoriseerd of ontvangen, of zodra een schriftelijk kredietarrangement voor B2B is bevestigd.

2.2.2 Onderneming mag een bestelling weigeren bij redelijke gronden, waaronder vermoedens van fraude of misbruik, onvolledige gegevens, eerdere ernstige contractschendingen of onaanvaardbare leverrisico’s, bijvoorbeeld exportrestricties, structurele bezorgproblemen of risicobestemmingen.

2.3 Kennelijke vergissingen en fouten

2.3.1 Kennelijke fouten, zoals prijsfouten, typefouten, onmogelijke aanbiedingen of evidente voorraadfouten, binden Onderneming niet.

2.3.2 Onderneming mag de bestelling annuleren of corrigeren. In dat geval krijgt Klant de keuze om akkoord te gaan met de correctie of de bestelling te annuleren met terugbetaling van het reeds betaalde bedrag.


3. Prijzen, kosten, betaling en wanbetaling

3.1 Prijzen en kosten

3.1.1 Prijzen zijn in euro’s en inclusief btw, tenzij anders aangegeven. Verzendkosten, export- en documentkosten worden apart vermeld.

3.1.2 Voor internationale zendingen kan Onderneming externe kosten één-op-één doorbelasten, bijvoorbeeld documentkosten, inspectiekosten, legalisatie en carrier surcharges, conform informatie bij checkout, offerte of orderbevestiging.

3.2 Betaling (B2C)

3.2.1 Consumenten betalen direct via de aangeboden betaalmethoden.

3.2.2 Bestellingen worden pas verwerkt na succesvolle betaling of authorisatie.

3.3 Betaling (B2B)

3.3.1 Zakelijke Klanten betalen vooraf, tenzij schriftelijk een betalingstermijn is overeengekomen.

3.3.2 Bij overschrijding van de betalingstermijn is de Zakelijke Klant van rechtswege in verzuim.

3.4 Wanbetaling en incasso

3.4.1 Bij wanbetaling mag Onderneming de uitvoering opschorten, verdere levering staken of de Overeenkomst geheel of gedeeltelijk ontbinden.

3.4.2 Voor B2C gelden rente en incassokosten conform de wettelijke regels voor consumenten. Voor B2B gelden wettelijke handelsrente en buitengerechtelijke incassokosten conform de wet.

3.4.3 Alle redelijke kosten ter verkrijging van betaling, waaronder juridische kosten, komen voor rekening van de in verzuim zijnde Klant voor zover wettelijk toegestaan.


4. Verwerking, annulering, deellevering en vervanging

4.1 Verwerking en planning

4.1.1 Onderneming verwerkt bestellingen op volgorde van binnenkomst, rekening houdend met producttype, bestemming, routeplanning, exportvereisten, capaciteit en operationele haalbaarheid.

4.1.2 Leverdata zijn indicatief, tenzij schriftelijk als fatale termijn overeengekomen.

4.2 Annulering en Voorbereidingsfase

4.2.1 Annulering kan uitsluitend via het Officieel communicatiekanaal.

4.2.2 Annulering is alleen mogelijk zolang de bestelling aantoonbaar niet in de Voorbereidingsfase is gekomen.

4.2.3 Na start van de Voorbereidingsfase kan annulering worden geweigerd of beperkt tot nog niet verwerkte onderdelen, afhankelijk van producttype, voedselveiligheid en wettelijke vereisten.

4.3 Productbeschikbaarheid en vervanging

4.3.1 Indien een product tijdelijk niet beschikbaar is, meldt Onderneming dit en biedt zij een passende oplossing, zoals vervanging, uitstel, deelterugbetaling of shoptegoed.

4.3.2 Klant heeft het recht vervanging te weigeren.

4.3.3 Indien vervanging noodzakelijk is om levering mogelijk te maken, bijvoorbeeld door exportrestricties, kan Onderneming alternatieven voorstellen. Bij weigering kan Onderneming de overeenkomst voor dat onderdeel ontbinden met terugbetaling van dat onderdeel.

4.4 Deelleveringen en splitsing

4.4.1 Onderneming mag bestellingen splitsen wanneer dit noodzakelijk is voor productveiligheid, temperatuurvereisten, exportregels, voorraad of logistiek.

4.4.2 Risico-overdracht, klachttermijnen en bewijsregels gelden per deelzending vanaf aflevering van die deelzending.

4.4.3 Eventuele extra externe kosten door splitsing worden vooraf gemeld, tenzij splitsing nodig is om een overeengekomen leverwijze uitvoerbaar te maken. In dat geval worden uitsluitend aantoonbare externe meerkosten één-op-één doorbelast.


5. Levering, verzending en risico-overdracht

5.1 Levermethoden

Onderneming levert via pakketverzending met externe vervoerders, persoonlijke leverroutes binnen geselecteerde regio’s en/of andere overeengekomen methoden.

5.2 Levertermijnen (B2C-toets)

5.2.1 Indicatieve levertermijnen zijn geen fatale termijnen.

5.2.2 Bij vertraging mag de Consument Onderneming een redelijke nadere termijn stellen. Blijft levering daarna uit, dan mag de Consument de Overeenkomst voor het niet uitgevoerde deel ontbinden conform dwingend recht.

5.3 Adresgegevens, bereikbaarheid en aanwezigheid

5.3.1 Klant is verantwoordelijk voor correcte adres- en contactgegevens.

5.3.2 Bij Bederfelijke Producten is Klant verplicht beschikbaar te zijn op het levermoment en direct veilige opslag te verzorgen.

5.3.3 Niet-aflevering door afwezigheid, weigering, foutieve gegevens of het niet tijdig ophalen bij een afhaalpunt komt voor rekening van Klant. Kosten voor opslag, retour, herlevering en/of vernietiging worden doorbelast voor zover wettelijk toegestaan.

5.4 Risico-overdracht

5.4.1 Het risico op verlies, beschadiging of kwaliteitsverlies gaat over op Klant op het moment van aflevering op het opgegeven adres, afhaalpunt op moment van beschikbaarstelling, of fysieke overdracht bij routelevering.

5.4.2 Voor pakketverzending geldt het aflevermoment zoals geregistreerd door de vervoerder, tracking of POD, behoudens tegenbewijs.

5.5 Temperatuur, weer en beperkingen

5.5.1 Onderneming treft redelijke maatregelen voor temperatuurbehoud tijdens transport, passend bij producttype en route of vervoerder.

5.5.2 Extreem weer, douane-inspecties, vertragingen en last-mile beperkingen kunnen invloed hebben op levertijd en productkwaliteit. Voor zover Onderneming binnen redelijke grenzen correct heeft verpakt en verzonden, ligt het risico na aflevering bij Klant, met inachtneming van dwingend recht.

5.6 Routelevering, doorschuiving en logistieke haalbaarheid

5.6.1 Indien Producten zijn besteld voor levering via een persoonlijke route, routeactie, groepslevering of andere door Onderneming georganiseerde leverronde, worden deze leveringen gepland op basis van route-efficiëntie, productveiligheid, afstand, verkeersomstandigheden, chauffeurbeschikbaarheid, capaciteit, weersomstandigheden en de leveringen van andere klanten binnen dezelfde route.

5.6.2 Producten die in een bepaalde leverronde niet konden worden geleverd, worden in beginsel meegenomen in de eerstvolgende passende leverronde, voor zover de Overeenkomst nog voortduurt, de Klant blijft meewerken en levering logistiek haalbaar is.

5.6.3 Indien levering in de eerstvolgende passende ronde redelijkerwijs niet haalbaar blijkt, bijvoorbeeld door routebeperkingen, capaciteitsdrukte, productveiligheid, weersomstandigheden, voertuigproblemen, vertragingen, exportbeperkingen of andere logistieke omstandigheden, mag Onderneming de levering doorschuiven naar de daaropvolgende passende ronde. Dit laat de algemene rechtspositie van de Consument onder dwingend recht onverlet.

5.6.4 Een dergelijke doorschuiving geldt niet als tekortkoming indien deze binnen de gegeven omstandigheden redelijk is en de Onderneming zich blijft inspannen om de levering alsnog uit te voeren of anderszins conform de Overeenkomst af te wikkelen.

5.7 Levervenster en communicatie bij routelevering

5.7.1 Tenzij uitdrukkelijk schriftelijk anders overeengekomen, vinden persoonlijke leveringen in beginsel plaats binnen een indicatief levervenster tussen 08:00 en 22:00 lokale tijd.

5.7.2 Dit levervenster is indicatief en geen fatale termijn. De Klant mag voorkeuren, beschikbaarheid en praktische wensen doorgeven. Onderneming stelt dergelijk meedenken op prijs, maar hieraan kunnen geen rechten op een exact tijdstip, voorrang of kosteloze routewijziging worden ontleend.

5.7.3 Indien een levering naar verwachting wezenlijk eerder of later zal plaatsvinden dan redelijkerwijs mocht worden verwacht, zal Onderneming waar mogelijk contact opnemen om dit af te stemmen. Het uitblijven van succesvol contact ontslaat de Klant niet van zijn verplichting om beschikbaar te zijn binnen het gecommuniceerde of redelijk te verwachten levervenster.

5.8 Routeactieprijs, afwijking buiten route en werkelijke kosten

5.8.1 Eventuele leveringsprijzen voor routelevering, groepslevering, routeacties, early bird-acties, regionale bezorgacties of andere actieprijzen gelden uitsluitend zolang de levering plaatsvindt binnen de normale, efficiënte en door Onderneming geplande route.

5.8.2 Indien levering buiten de normale route valt, een individuele afwijking vereist, extra reistijd veroorzaakt of op verzoek van de Klant moet worden aangepast, vervalt de actie- of groepsprijs. In dat geval mag Onderneming de werkelijke extra kosten doorbelasten, waaronder maar niet beperkt tot extra kilometerkosten, extra chauffeurs- of wachttijd, tol, parkeren, ferrykosten, omrijdkosten, handling, herplanning, verpakkingskosten en andere direct aan de afwijking gerelateerde logistieke kosten.

5.8.3 Het feit dat een levering eerder tegen een actietarief, groepsprijs of gereduceerd routebedrag was aangeboden, betekent niet dat dit tarief blijft gelden bij afwijking, vertraging, omleiding, individuele herlevering of omzetting naar een andere levermethode.

5.9 Niet thuis, toegang, buren en schriftelijke instructies

5.9.1 De Klant is verantwoordelijk voor aanwezigheid op het levermoment en voor tijdige toegang tot het afleveradres.

5.9.2 Onderneming is uitsluitend gerechtigd een bestelling achter te laten bij buren, in een hal, achter een poort, bij receptie, op een veilige plaats of op andere wijze zonder directe persoonlijke overdracht, indien de Klant daarvoor vooraf uitdrukkelijk en schriftelijk toestemming heeft gegeven.

5.9.3 Mondelinge, onduidelijke, achteraf betwiste of via derden doorgegeven instructies binden Onderneming niet. Zonder voorafgaande schriftelijke toestemming mag de chauffeur levering op een alternatieve plaats, bij buren of via alternatieve toegang weigeren.

5.9.4 Indien de Klant schriftelijk toestemming geeft om zonder persoonlijke overdracht te leveren of toegang te verschaffen, gebeurt dit volledig voor risico van de Klant vanaf het moment van achterlaten, neerzetten, binnenplaatsen of overdracht conform die instructie, behoudens voor zover dwingend recht anders bepaalt.

5.10 Wachten, vertraging en meerkosten

5.10.1 Indien op het afleveradres niemand aanwezig is, toegang ontbreekt of aanvullende afstemming nodig is, mag de chauffeur, indien logistiek nog verantwoord, gedurende een redelijke periode wachten. De duur van een dergelijke wachttijd wordt uitsluitend door Onderneming of haar chauffeur bepaald op basis van de resterende route, productveiligheid, verkeersomstandigheden, rijtijden en andere leververplichtingen.

5.10.2 Wachttijd, vertraging en aanvullende afstemming kunnen leiden tot meerkosten. Onderneming mag de werkelijke extra kosten van wachten, vertraging, herplanning, omleiding, kwaliteitsverlies, herlevering of omzetting naar een andere levermethode aan de Klant doorbelasten, voor zover wettelijk toegestaan.

5.10.3 Indien wachten niet of niet langer logistiek verantwoord is, mag Onderneming de levering staken, uitstellen, doorschuiven naar een volgende passende leverronde of omzetten naar pakketverzending, met doorbelasting van de daarmee samenhangende redelijke kosten.

5.11 Route-aanpassingen op verzoek van klant

5.11.1 Persoonlijke leverroutes worden gepland op basis van route-efficiëntie, productveiligheid, afstand, verkeersomstandigheden, beschikbaarheid van de chauffeur en de leveringen van andere klanten binnen dezelfde route.

5.11.2 Indien een Klant wegens persoonlijke omstandigheden, afwezigheid, medische afspraken, werk, vakantie of andere redenen verzoekt om een aangepast levermoment of afwijkende volgorde binnen de route, zal Onderneming waar redelijkerwijs mogelijk proberen mee te denken. Een dergelijk verzoek geeft echter geen recht op voorrang, een gegarandeerd tijdstip of kosteloze wijziging van de route.

5.11.3 Wanneer Onderneming op verzoek van een Klant de route aanpast, kan dit invloed hebben op de planning, levertijd en uitvoering van andere leveringen. Onderneming behoudt zich daarom het recht voor om een verzoek tot route-aanpassing te weigeren, te beperken of alleen uit coulance uit te voeren.

5.11.4 Een aangepast tijdvak of aangepaste routevolgorde blijft indicatief, tenzij Onderneming uitdrukkelijk en schriftelijk een fatale leveringstermijn heeft bevestigd. Vertragingen door verkeer, eerdere afleveringen, wachttijd, technische problemen, weersomstandigheden of andere logistieke omstandigheden blijven mogelijk.

5.11.5 Indien een Klant ondanks een redelijke leverpoging niet aanwezig is, de levering weigert of het afgesproken aangepaste levermoment alsnog niet kan nakomen, komen de gevolgen daarvan voor rekening en risico van de Klant, voor zover wettelijk toegestaan. Eventuele kosten voor herlevering, opslag, retour, kwaliteitsverlies of vervanging kunnen aan de Klant worden doorberekend.

5.11.6 Het feit dat Onderneming in een individueel geval uit coulance een route aanpast, betekent niet dat de Klant daar in toekomstige gevallen recht op heeft en schept geen precedent voor andere klanten of bestellingen.

5.12 Samenhang met dwingend consumentenrecht

5.13 Veiligheid van chauffeurs en operationele haalbaarheid

5.13.1 The Dutch Snackbar heeft te allen tijde het recht een leverroute geheel of gedeeltelijk te wijzigen, uit te stellen, te onderbreken, om te leiden of te annuleren indien dit redelijkerwijs noodzakelijk is ter bescherming van de veiligheid van chauffeurs, medewerkers, klanten, vervoerders, voertuigen of goederen, dan wel indien de uitvoering van de route operationeel of logistiek niet langer verantwoord of haalbaar is.

5.13.2 Hieronder vallen onder meer, maar niet uitsluitend, bosbranden, natuurbranden, rookontwikkeling, evacuaties, afgesloten wegen, bruggen of tunnels, extreme weersomstandigheden, overstromingen, aardverschuivingen, aardbevingen, stormschade, hittegolven, overheidsmaatregelen, veiligheidsrisico's, verkeerssituaties, langdurige files, uitval van infrastructuur, beperkingen van hulpdiensten, vervoerders of autoriteiten en iedere andere omstandigheid waardoor de veiligheid of uitvoerbaarheid van de route redelijkerwijs in gevaar komt.

5.13.3 Indien een deel van een geplande route wordt gewijzigd of overgeslagen, zal The Dutch Snackbar de betreffende bestelling, naar eigen keuze, verplaatsen naar een volgende geschikte leverroute, een alternatieve afleverlocatie voorstellen, een alternatieve levermethode aanbieden of de overeenkomst voor het nog niet uitgevoerde gedeelte beëindigen indien levering blijvend onmogelijk blijkt.

5.13.4 Klanten kunnen aan een vooraf gecommuniceerde route, leverdatum, routevolgorde of tijdsindicatie geen absoluut recht ontlenen indien wijziging noodzakelijk is wegens veiligheid, wettelijke verplichtingen of operationele haalbaarheid.

5.13.5 The Dutch Snackbar is niet verplicht een gebied binnen te rijden waarvan redelijkerwijs kan worden aangenomen dat dit een onaanvaardbaar risico oplevert voor de veiligheid van personen, voertuigen of goederen. De veiligheid van chauffeurs en medewerkers heeft steeds voorrang boven de uitvoering van een levering.

5.12.1 De in dit artikel opgenomen regels laten de rechten van Consumenten onder dwingend recht onverlet, waaronder het recht om in voorkomende gevallen een redelijke aanvullende leveringstermijn te stellen en bij uitblijven van levering het nog niet uitgevoerde deel van de Overeenkomst te ontbinden, voor zover de wet dat toestaat.


6. Export, douane, documentatie en kosten

6.1 Verantwoordelijkheid bij export

6.1.1 Klant controleert vóór bestelling of Producten legaal kunnen worden ingevoerd in het bestemmingsland en welke vergunningen of voorwaarden gelden.

6.1.2 Klant draagt importheffingen, btw, invoerrechten, clearance-kosten, opslag en inspectiekosten, tenzij schriftelijk anders overeengekomen.

6.2 Exportdocumenten en administratieve kosten

6.2.1 Indien exportdocumenten vereist zijn, bijvoorbeeld oorsprongs- en/of veterinaire documentatie, leveranciersverklaringen, HS-codes of douane-export, kan Onderneming deze laten verzorgen indien praktisch en juridisch uitvoerbaar.

6.2.2 Waar van toepassing geldt een vaste basisadministratiekost van €55 per zending voor exportafhandeling en documentatie, naast eventuele externe kosten.

6.2.3 Documentkosten en reeds gemaakte externe kosten zijn niet restitueerbaar zodra de aanvraag of processing is gestart, tenzij sprake is van aantoonbare fout van Onderneming.

6.3 Weigering, vernietiging of retour door autoriteiten

6.3.1 Indien een zending wordt tegengehouden, geweigerd, vernietigd of geretourneerd door douaneautoriteiten of vervoerders wegens importregels, lokale wetgeving, onjuiste of ontbrekende gegevens van Klant of risico’s buiten invloed van Onderneming, ontstaat geen recht op terugbetaling van product-, verzend- of documentkosten, tenzij dwingend recht anders bepaalt of sprake is van aantoonbare fout van Onderneming.

6.3.2 Indien herverzending mogelijk is, kan Onderneming dit aanbieden tegen doorberekening van kosten.

6.4 Bestemmingsbeperkingen en risicobeoordeling

Onderneming mag bestemmingen, postcodes of productcategorieën uitsluiten of alternatieve levermethoden voorstellen indien wettelijke beperkingen, structurele bezorgproblemen of veiligheidsrisico’s daartoe aanleiding geven. Indien dit vóór de Voorbereidingsfase wordt vastgesteld, kan Klant kosteloos annuleren. Na de Voorbereidingsfase gelden de regels van artikel 4.2.


7. Klachten, onderzoek, bewijs en meldtermijnen

7.1 Inspectieplicht

7.1.1 Klant inspecteert de zending direct bij ontvangst op volledigheid, schade en waar relevant temperatuurconditie.

7.1.2 Vanwege voedselveiligheid en onderzoekbaarheid geldt voor Bederfelijke Producten een verscherpte meld- en bewaarplicht.

7.2 Meldtermijnen

7.2.1 Bederfelijke Producten: uiterlijk binnen 24 uur na aflevering via het Officieel communicatiekanaal.

7.2.2 Niet-bederfelijke voedingsmiddelen: uiterlijk binnen 48 uur na aflevering.

7.2.3 Non-food: uiterlijk binnen 72 uur na aflevering, tenzij wettelijke regels een langere termijn voorschrijven.

7.2.4 Verborgen gebrek: indien een gebrek redelijkerwijs niet binnen bovenstaande termijnen kon worden ontdekt, meldt Klant dit binnen een redelijke termijn na ontdekking, met behoud van product en verpakking en een deugdelijke onderbouwing. Voor Bederfelijke Producten blijft het uitgangspunt dat snelle melding essentieel is.

7.3 Bewijseisen

7.3.1 Klant levert duidelijke foto’s van de buitenzijde van de doos, labels, binnenverpakking, het betreffende product en eventuele indicatoren of dataloggers indien aanwezig.

7.3.2 Onvoldoende bewijs kan leiden tot afwijzing van de claim.

7.3.3 Onderneming mag aanvullende informatie vragen, waaronder tracking, batchcodes, tijdstippen en communicatie met vervoerder.

7.4 Bewaren van producten

Klant bewaart product en verpakking totdat het onderzoek is afgerond. Weggooien, consumeren of onvoldoende bewaren kan onderzoek onmogelijk maken en leidt in beginsel tot afwijzing, tenzij dwingend recht anders bepaalt.

7.5 Uitkomst klachten en remedies

7.5.1 Een klacht geeft geen automatisch recht op restitutie. Onderneming beoordeelt op basis van bewijs, wettelijke normen, producttype, beschikbaarheid en redelijkheid.

7.5.2 Mogelijke oplossingen zijn vervanging indien beschikbaar en toegestaan, deelterugbetaling of shoptegoed, afhankelijk van de situatie en dwingend recht.


8. Herroeping, retour en terugbetaling

8.1 Geen retour voor voedingsmiddelen

8.1.1 Voedingsmiddelen, inclusief diepvries, gekoeld, vers en houdbaar, zijn niet retourneerbaar wegens voedselveiligheid en wettelijke uitzonderingen op het herroepingsrecht.

8.1.2 Ongeautoriseerde retouren van voedsel kunnen worden geweigerd en/of vernietigd zonder vergoeding.

8.2 Herroepingsrecht (alleen B2C, non-food)

8.2.1 Voor non-food kan de Consument de Overeenkomst binnen 14 dagen na ontvangst herroepen, tenzij een wettelijke uitzondering geldt.

8.2.2 Herroeping meldt de Consument via het Officieel communicatiekanaal. Retourzending volgt binnen 14 dagen na herroepingsmelding, in oorspronkelijke staat voor zover redelijkerwijs mogelijk.

8.2.3 Retourkosten zijn voor rekening van de Consument, tenzij Onderneming anders aangeeft of sprake is van non-conformiteit.

8.2.4 Onderneming mag waardevermindering in rekening brengen indien het product meer is gebruikt dan nodig is om aard, kenmerken en werking vast te stellen.

8.3 Terugbetaling

8.3.1 Terugbetalingen waar van toepassing vinden plaats via dezelfde betaalmethode, binnen de wettelijke termijnen na beoordeling of acceptatie.

8.3.2 Export- en documentkosten kunnen niet-restitueerbaar zijn zodra de verwerking is gestart, tenzij dwingend recht anders bepaalt.


9. Aansprakelijkheid en overmacht

9.1 Aansprakelijkheid – algemeen

9.1.1 Onderneming is niet aansprakelijk voor indirecte schade, waaronder gevolgschade, gederfde winst en reputatieschade, voor zover wettelijk toegestaan.

9.1.2 Directe schade is, voor zover wettelijk toegestaan, beperkt tot het bedrag van de betreffende bestelling.

9.2 Uitzonderingen en dwingend recht

Beperkingen gelden niet voor schade veroorzaakt door opzet of bewuste roekeloosheid van Onderneming en evenmin voor aansprakelijkheid die op grond van dwingend recht niet kan worden uitgesloten of beperkt, waaronder waar van toepassing productaansprakelijkheid en letselschade.

9.3 Externe factoren

Onderneming is niet aansprakelijk voor vertraging of schade veroorzaakt door vervoerders, douane, autoriteiten, infrastructuurstoringen, extreme weersomstandigheden of andere omstandigheden buiten haar redelijke controle, behoudens dwingend recht.

9.4 Overmacht

9.4.1 Overmacht omvat onder meer oorlog, pandemieën, stakingen, overheidsingrijpen, import- of exportverboden, transportblokkades, uitval van systemen of infrastructuur, extreme weersomstandigheden en ernstige verstoringen bij vervoerders of leveranciers.

9.4.2 Bij overmacht mag Onderneming haar verplichtingen opschorten. Reeds geleverde prestaties en betalingsverplichtingen blijven verschuldigd.

9.4.3 Indien overmacht langer dan 60 dagen duurt, mogen partijen de Overeenkomst voor het nog niet uitgevoerde deel ontbinden zonder schadevergoeding.


10. Gedrag, misbruik, fraude en serviceweigering

10.1 Normen voor communicatie

Klant en Onderneming behandelen elkaar respectvol. Dreiging, intimidatie, discriminatie, doxxing, stelselmatige belediging of doelbewust misleidende claims kunnen leiden tot beperking of beëindiging van dienstverlening.

10.2 Misbruik en fraude

Onder misbruik valt onder meer herhaaldelijk indienen van ongegronde claims zonder bewijs, chargeback-misbruik, het verstrekken van onjuiste gegevens of het structureel frustreren van onderzoek. Onderneming mag aanvullende verificatie eisen, bestellingen weigeren of dienstverlening beëindigen, voor zover wettelijk toegestaan.

10.3 Serviceweigering

Onderneming mag toekomstige orders weigeren of accounts blokkeren bij ernstige of herhaalde overtredingen. Dit laat bestaande betalingsverplichtingen en reeds ontstane vorderingen onverlet.

10.4 Betaaldisputen en platformprocedures

Een chargeback, PayPal-kwestie, betalingsdispuut of procedure via een betaalprovider, marktplaats of platform geldt niet als een bindend juridisch oordeel, rechterlijke uitspraak of definitieve vaststelling van aansprakelijkheid.

Onderneming behoudt zich het recht voor om in dergelijke procedures haar standpunt, bewijsstukken, levergegevens, communicatie en toepasselijke voorwaarden volledig aan te voeren en een door de Klant gestarte kwestie inhoudelijk te betwisten.

Het openen van een kwestie via een betaalprovider, marktplaats of platform betekent op zichzelf niet dat de Klant inhoudelijk gelijk heeft of automatisch recht heeft op volledige terugbetaling, ontbinding, schadevergoeding of enige andere vordering.

Voor zover wettelijk toegestaan blijven de Overeenkomst, de toepasselijke beleidsdocumenten en het overige civiele recht tussen partijen van kracht, ongeacht de uitkomst van een interne betaalprovider- of platformprocedure.


11. Privacy en gegevensverwerking

11.1 Onderneming verwerkt persoonsgegevens conform de AVG en de Privacyverklaring.

11.2 Persoonsgegevens worden verwerkt voor orderafhandeling, verzending, klantenservice, fraudepreventie, exportdocumentatie en wettelijke verplichtingen.

11.3 Bewaartermijnen volgen de Privacyverklaring en wettelijke verplichtingen, zoals fiscale bewaarplicht.


12. Intellectueel eigendom, overdracht en slotbepalingen

12.1 Intellectueel eigendom

Alle intellectuele eigendomsrechten op teksten, beelden, ontwerpen, merken, logo’s, templates en documentatie berusten bij Onderneming of haar licentiegevers. Gebruik zonder toestemming is verboden.

12.2 Overdracht van rechten en vorderingen

Onderneming mag haar rechten en vorderingen uit de Overeenkomst overdragen aan derden, bijvoorbeeld voor incasso of financiering, met inachtneming van toepasselijke wetgeving.

12.3 Deelbaarheid

Indien een bepaling nietig of vernietigbaar is, blijven de overige bepalingen in stand. Partijen vervangen de ongeldige bepaling door een geldige bepaling die doel en strekking zo dicht mogelijk benadert.

12.4 Volledige overeenkomst

Deze voorwaarden, samen met de orderbevestiging of offerte en schriftelijke afspraken, vormen de volledige overeenkomst en vervangen eerdere toezeggingen over hetzelfde onderwerp.


13. Toepasselijk recht en geschillen

13.1 Toepasselijk recht

Op de Overeenkomst is Nederlands recht van toepassing.

13.2 Bevoegde rechter

13.2.1 B2B: Geschillen met Zakelijke Klanten worden exclusief voorgelegd aan de bevoegde rechter in Nederland, arrondissement Midden-Nederland, locatie Lelystad, tenzij dwingend recht anders bepaalt.

13.2.2 B2C (EU): Voor Consumenten binnen de EU geldt dat zij hun wettelijke rechten behouden om te procederen bij de bevoegde rechter conform de toepasselijke EU-bevoegdheidsregels. Een forumkeuze beperkt die rechten niet.

13.2.3 Partijen streven eerst naar een minnelijke oplossing via het Officieel communicatiekanaal.


Aanvulling Regime B (B2B) – Eigendomsvoorbehoud

Voor zover de Klant kwalificeert als Zakelijke Klant (B2B) geldt aanvullend dat alle door Onderneming geleverde goederen eigendom blijven van Onderneming totdat de Zakelijke Klant alle verplichtingen uit de Overeenkomst volledig heeft voldaan, inclusief rente en kosten.

De Zakelijke Klant zal de goederen zorgvuldig bewaren, identificeerbaar houden en waar redelijk verzekeren.

Indien de Zakelijke Klant tekortschiet, is Onderneming gerechtigd de goederen terug te nemen. De Zakelijke Klant verleent daartoe bij voorbaat toestemming om plaatsen te betreden waar de goederen zich bevinden, voor zover wettelijk toegestaan.

0. Preliminary – Applicable regime (B2C & B2B)

0.1 These Terms contain two regimes within one document: Regime A (Consumer/B2C) and Regime B (Business Customer/B2B).

0.2 If the Customer qualifies as a Consumer, Regime A applies. If the Customer qualifies as a Business Customer, Regime B applies.

0.3 Clauses applicable to both regimes are not separately marked. Clauses applicable only to B2C or only to B2B are expressly indicated.

0.4 For Consumers, these Terms apply only insofar as they do not derogate from mandatory consumer law. In case of conflict, mandatory law prevails.


1. Definitions, identity and applicability

1.1 Definitions

a) Company: The Dutch Snackbar B.V., including all trade names, labels, affiliated webshops and domains operated by it.

b) Customer: the natural person or legal entity entering into an Agreement with the Company.

c) Consumer (B2C): a natural person acting for purposes outside their trade, business, craft or profession.

d) Business Customer (B2B): any legal entity or natural person acting in the course of business, and any organisation not qualifying as a Consumer.

e) Agreement: any agreement, distance contract or otherwise, between Company and Customer regarding Products and/or Services.

f) Products: all goods offered by Company, including but not limited to ambient food, chilled products, frozen products, fresh products, non-food items, export products and merchandise.

g) Perishable Products: Products whose quality or safety depends on time, temperature and storage, including frozen, chilled and fresh goods.

h) Services: additional services such as route delivery, priority processing, export handling, documentation, reshipment and customer support.

i) Export Shipment: any shipment outside the Netherlands, including shipments within and outside the EU.

j) Preparation Phase: the phase in which Company starts one or more of picking, packing, chilled or frozen handling, route planning, label creation, carrier booking, DG or temperature packaging, export or customs preparation and/or requesting or submitting export documents.

k) DG or temperature packaging: means used to maintain temperature or meet legal transport requirements, such as insulation, cooling elements, indicators, data loggers and where applicable DG procedures.

l) Official communication channel: email to info@dutchsnackbar.com and/or an official support form or ticketing system on the website.

1.2 Applicability

1.2.1 These Terms apply to all offers, orders, payments, deliveries, services and other legal relationships between Company and Customer.

1.2.2 Deviations are valid only if expressly confirmed by Company in writing, including by email.

1.2.3 The Customer’s general purchase or other terms are expressly rejected unless accepted in writing by Company.

1.3 Hierarchy in case of conflict

In case of conflict, the following hierarchy applies from high to low:

a) written quotation or order confirmation to the extent specific and explicit,

b) these Terms of Service,

c) Shipping/Delivery Policy,

d) Refund Policy,

e) other website information, product pages and marketing statements.

The Privacy Notice governs data processing only and does not amend delivery, price or payment arrangements.

1.4 Amendments

1.4.1 Company may amend these Terms. The current version is published on the website.

1.4.2 Amendments do not apply retroactively to existing Agreements unless mandatory law requires it or Customer agrees in writing.


2. Offer, formation and obvious errors

2.1 Offer and information

2.1.1 Offers are non-binding unless explicitly stated otherwise.

2.1.2 Company aims to provide accurate product information, including ingredients, allergens, weights, origin and shelf life. Supplier or batch changes may occur. Mandatory legal information duties remain fully applicable.

2.2 Formation of the Agreement

2.2.1 A Customer’s order constitutes an offer. The Agreement is formed when Company confirms the order and payment is authorised or received, or when a written credit arrangement for B2B is confirmed.

2.2.2 Company may refuse an order on reasonable grounds, including suspected fraud or misuse, incomplete data, prior serious breaches or unacceptable delivery risk, such as export restrictions, structural delivery issues or risk destinations.

2.3 Obvious mistakes

2.3.1 Obvious mistakes, such as pricing errors, typos, impossible offers or evident stock errors, are not binding on Company.

2.3.2 Company may cancel or correct the order. The Customer may then accept the correction or cancel with a refund of amounts paid.


3. Prices, costs, payment and default

3.1 Prices and costs

3.1.1 Prices are in EUR and include VAT unless stated otherwise. Shipping, export and documentation costs are charged separately.

3.1.2 For international shipments, Company may pass through external costs one-to-one, such as documentation, inspections, legalisation and carrier surcharges, as shown at checkout or in the quotation or order confirmation.

3.2 Payment (B2C)

3.2.1 Consumers pay immediately using the available payment methods.

3.2.2 Orders are processed only after successful payment or authorisation.

3.3 Payment (B2B)

3.3.1 Business Customers pay in advance unless a written payment term is agreed.

3.3.2 Late payment places the Business Customer in default by operation of law.

3.4 Late payment and collection

3.4.1 In case of default, Company may suspend performance, stop further delivery or terminate the Agreement in whole or in part.

3.4.2 For B2C, interest and collection costs follow the statutory consumer rules. For B2B, statutory commercial interest and collection costs apply as permitted by law.

3.4.3 All reasonable costs for obtaining payment, including legal costs, are borne by the defaulting Customer to the extent permitted by law.


4. Processing, cancellation, partial shipments and substitution

4.1 Processing and planning

4.1.1 Company processes orders in order of receipt, taking into account product type, destination, route planning, export requirements, capacity and operational feasibility.

4.1.2 Delivery dates are indicative unless expressly agreed in writing as fixed deadlines.

4.2 Cancellation and Preparation Phase

4.2.1 Cancellation is only possible through the Official communication channel.

4.2.2 Cancellation is only possible as long as the order has demonstrably not entered the Preparation Phase.

4.2.3 Once the Preparation Phase has started, cancellation may be refused or limited to unprocessed parts, depending on product type, food safety and legal requirements.

4.3 Product availability and substitution

4.3.1 If a product is temporarily unavailable, Company will notify the Customer and offer an appropriate solution, such as substitution, postponement, partial refund or store credit.

4.3.2 The Customer has the right to refuse substitution.

4.3.3 If substitution is necessary to make delivery possible, for example due to export restrictions, Company may propose alternatives. If refused, Company may terminate that part of the agreement and refund that part.

4.4 Partial deliveries and splitting

4.4.1 Company may split orders where necessary for product safety, temperature requirements, export rules, stock or logistics.

4.4.2 Transfer of risk, complaint deadlines and evidence rules apply per partial shipment from delivery of that partial shipment.

4.4.3 Any extra external costs due to splitting are communicated in advance, unless splitting is necessary to make the agreed delivery method workable. In that case, only demonstrable external additional costs are passed through one-to-one.


5. Delivery, shipping and transfer of risk

5.1 Delivery methods

Company delivers via parcel shipment with external carriers, personal delivery routes within selected regions, and/or other agreed methods.

5.2 Delivery periods (B2C test)

5.2.1 Indicative delivery times are not fixed deadlines.

5.2.2 In case of delay, the Consumer may grant Company a reasonable additional period. If delivery still fails, the Consumer may terminate the Agreement for the unperformed part in accordance with mandatory law.

5.3 Address details, availability and presence

5.3.1 The Customer is responsible for correct address and contact details.

5.3.2 For Perishable Products, the Customer must be available at the delivery moment and immediately provide safe storage.

5.3.3 Failed delivery due to absence, refusal, incorrect details or failure to collect from a pickup point is at the Customer’s expense. Costs for storage, return, redelivery and/or destruction may be charged where permitted by law.

5.4 Transfer of risk

5.4.1 The risk of loss, damage or quality deterioration passes to the Customer at the moment of delivery to the stated address, pickup point when made available, or physical handover in case of route delivery.

5.4.2 For parcel shipment, the delivery moment as recorded by the carrier through tracking or POD applies unless proven otherwise.

5.5 Temperature, weather and restrictions

5.5.1 Company takes reasonable measures to preserve temperature during transport, appropriate to the product type and route or carrier.

5.5.2 Extreme weather, customs inspections, delays and last-mile limitations may affect delivery time and product quality. To the extent Company has packed and shipped correctly within reasonable standards, the risk after delivery lies with the Customer, subject to mandatory law.

5.6 Route delivery, carry-forward and logistical feasibility

5.6.1 If Products are ordered for delivery through a personal route, route promotion, group delivery or any other delivery round organised by the Company, such deliveries are planned on the basis of route efficiency, product safety, distance, traffic conditions, driver availability, capacity, weather conditions and the deliveries of other customers within the same route.

5.6.2 Products that could not be delivered in a particular delivery round shall in principle be included in the next suitable delivery round, provided that the Agreement remains in force, the Customer continues to cooperate and delivery remains logistically feasible.

5.6.3 If delivery in the next suitable round is not reasonably feasible, for example due to route restrictions, capacity pressure, product safety, weather conditions, vehicle issues, delays, export restrictions or other logistical circumstances, the Company may postpone delivery to the following suitable round. This does not affect the Consumer’s rights under mandatory law.

5.6.4 Such postponement does not constitute a breach where it is reasonable in the circumstances and the Company continues to make reasonable efforts to complete delivery or otherwise settle the Agreement properly.

5.7 Delivery window and communication during route delivery

5.7.1 Unless expressly agreed otherwise in writing, personal deliveries shall in principle take place within an indicative delivery window between 08:00 and 22:00 local time.

5.7.2 This delivery window is indicative and not a strict deadline. The Customer may share preferences, availability and practical wishes. The Company appreciates such input, but no right to an exact delivery time, priority treatment or a free route adjustment may be derived from it.

5.7.3 If a delivery is expected to take place materially earlier or later than could reasonably be expected, the Company will, where possible, contact the Customer to coordinate this. Failure to establish successful contact does not release the Customer from the obligation to remain available within the communicated or reasonably expected delivery window.

5.8 Route promotion price, out-of-route deviation and actual costs

5.8.1 Any delivery prices offered for route delivery, group delivery, route promotions, early bird promotions, regional delivery promotions or other promotional pricing apply only for as long as the delivery takes place within the normal, efficient and Company-planned route.

5.8.2 If delivery falls outside the normal route, requires an individual deviation, causes extra travel time or must be adjusted at the Customer’s request, the promotional or group price shall lapse. In that event, the Company may charge the actual additional costs, including but not limited to extra mileage, additional driver or waiting time, tolls, parking, ferry charges, detour costs, handling, replanning, packaging costs and other logistics costs directly related to the deviation.

5.8.3 The fact that a delivery was previously offered at a promotional rate, group price or reduced route price does not mean that such rate remains applicable in the event of deviation, delay, rerouting, individual redelivery or conversion to another delivery method.

5.9 Absence, access, neighbours and written instructions

5.9.1 The Customer is responsible for being present at the time of delivery and for ensuring timely access to the delivery address.

5.9.2 The Company is only authorised to leave an order with neighbours, in a hallway, behind a gate, at reception, in a safe place or otherwise without direct personal handover if the Customer has given explicit prior written permission to do so.

5.9.3 Oral, unclear, disputed after-the-fact or third-party instructions are not binding on the Company. Without prior written authorisation, the driver may refuse delivery at an alternative location, to neighbours or through alternative access.

5.9.4 If the Customer gives written permission to deliver without personal handover or to use access arrangements, this shall be entirely at the Customer’s risk from the moment the Products are left, placed, brought inside or handed over in accordance with such instruction, except to the extent mandatory law provides otherwise.

5.10 Waiting, delay and additional charges

5.10.1 If no one is present at the delivery address, access is unavailable or additional coordination is needed, the driver may, if still logistically responsible, wait for a reasonable period. The duration of such waiting time shall be determined solely by the Company or its driver on the basis of the remaining route, product safety, traffic conditions, driving time rules and other delivery obligations.

5.10.2 Waiting time, delay and additional coordination may result in extra charges. The Company may charge the Customer the actual additional costs of waiting, delay, replanning, rerouting, quality loss, redelivery or conversion to another delivery method, to the extent permitted by law.

5.10.3 If waiting is not or is no longer logistically responsible, the Company may stop the delivery, postpone it, carry it forward to a next suitable delivery round or convert it into parcel shipment, with the reasonable associated costs charged to the Customer.

5.11 Route adjustments at the customer’s request

5.11.1 Personal delivery routes are planned on the basis of route efficiency, product safety, distance, traffic conditions, driver availability and the deliveries of other customers within the same route.

5.11.2 If a Customer requests an adjusted delivery time or a different delivery order within the route due to personal circumstances, absence, medical appointments, work, holidays or any other reason, the Company will, where reasonably possible, try to find a practical solution. Such a request does not create any right to priority, a guaranteed delivery time or a free route change.

5.11.3 If the Company adjusts a route at the Customer’s request, this may affect the planning, delivery times and execution of other deliveries. The Company therefore reserves the right to refuse, limit or perform such route adjustments only as a gesture of goodwill.

5.11.4 Any adjusted delivery window or route order remains indicative, unless the Company has expressly confirmed a strict delivery deadline in writing. Delays due to traffic, earlier deliveries, waiting time, technical issues, weather conditions or other logistical circumstances may still occur.

5.11.5 If the Customer is not present despite a reasonable delivery attempt, refuses the delivery or is unable to meet the adjusted delivery arrangement, the consequences shall be at the Customer’s expense and risk, to the extent permitted by law. Any costs for redelivery, storage, return, quality loss or replacement may be charged to the Customer.

5.11.6 If the Company adjusts a route in an individual case as a gesture of goodwill, this does not create any right for the Customer in future cases and does not set a precedent for other customers or orders.

5.12 Mandatory consumer law safeguard

5.13 Driver safety and operational feasibility

5.13.1 The Dutch Snackbar reserves the right at all times to modify, postpone, interrupt, reroute or cancel all or part of a delivery route where this is reasonably necessary to protect the safety of its drivers, employees, customers, carriers, vehicles or goods, or where continued performance of the route is no longer operationally or logistically safe or feasible.

5.13.2 This includes, but is not limited to, wildfires, forest fires, smoke, evacuations, road, bridge or tunnel closures, extreme weather, flooding, landslides, earthquakes, storm damage, heatwaves, government restrictions, safety risks, traffic conditions, prolonged congestion, infrastructure failures, restrictions imposed by emergency services, carriers or authorities, and any other circumstance that reasonably affects the safety or feasibility of the planned route.

5.13.3 Where part of a planned route is modified or omitted, The Dutch Snackbar may move the affected delivery to the next suitable delivery route, propose an alternative delivery location, offer an alternative delivery method, or terminate the Agreement in respect of the unperformed part where delivery has become permanently impossible.

5.13.4 Customers cannot derive an absolute right from a previously communicated route, delivery date, route sequence or estimated delivery time where changes are necessary due to safety considerations, legal obligations or operational feasibility.

5.13.5 The Dutch Snackbar shall not be required to enter any area that can reasonably be considered unsafe for its drivers, employees, vehicles or goods. The safety of its personnel shall always take precedence over the execution of any delivery.

5.12.1 The rules set out in this article do not affect Consumers’ rights under mandatory law, including the right, where applicable, to grant a reasonable additional delivery period and, if delivery still does not take place, to terminate the unperformed part of the Agreement to the extent permitted by law.


6. Export, customs, documentation and costs

6.1 Responsibility in export

6.1.1 The Customer checks before ordering whether Products may legally be imported into the destination country and which permits or conditions apply.

6.1.2 The Customer bears import duties, VAT, customs duties, clearance costs, storage and inspection costs unless agreed otherwise in writing.

6.2 Export documents and administrative fees

6.2.1 If export documents are required, such as origin documentation, veterinary documentation, supplier declarations, HS codes or customs export documents, Company may arrange these where practically and legally feasible.

6.2.2 Where applicable, a fixed base administrative fee of EUR 55 per shipment applies for export handling and documentation, in addition to any external costs.

6.2.3 Documentation costs and already incurred external costs are non-refundable once the application or processing has started, unless Company is demonstrably at fault.

6.3 Refusal, destruction or return by authorities

6.3.1 If a shipment is held, refused, destroyed or returned by customs authorities or carriers due to import rules, local law, incorrect or missing customer data, or risks outside Company’s control, there is no entitlement to refund of product, shipping or documentation costs unless mandatory law provides otherwise or Company is demonstrably at fault.

6.3.2 If reshipment is possible, Company may offer this against reimbursement of costs.

6.4 Destination restrictions and risk assessment

Company may exclude destinations, postal codes or product categories, or propose alternative delivery methods, where legal restrictions, structural delivery problems or safety risks justify this. If established before the Preparation Phase, the Customer may cancel free of charge. After the Preparation Phase, article 4.2 applies.


7. Complaints, investigation, evidence and deadlines

7.1 Duty to inspect

7.1.1 The Customer inspects the shipment immediately upon receipt for completeness, damage and where relevant temperature condition.

7.1.2 Due to food safety and ability to investigate, Perishable Products are subject to stricter reporting and retention duties.

7.2 Reporting deadlines

7.2.1 Perishable Products: no later than 24 hours after delivery through the Official communication channel.

7.2.2 Non-perishable food: no later than 48 hours after delivery.

7.2.3 Non-food: no later than 72 hours after delivery unless the law requires a longer period.

7.2.4 Hidden defect: if a defect could not reasonably have been discovered within the above periods, the Customer must report it within a reasonable time after discovery, keeping the product and packaging and providing proper substantiation. For Perishable Products, prompt reporting remains essential.

7.3 Evidence requirements

7.3.1 The Customer must provide clear photographs of the outer box, labels, inner packaging, the relevant product and any indicators or data loggers if present.

7.3.2 Insufficient evidence may lead to rejection of the claim.

7.3.3 Company may request additional information, including tracking, batch codes, timestamps and communication with the carrier.

7.4 Retaining products

The Customer retains the product and packaging until the investigation is completed. Discarding, consuming or insufficient preservation may make investigation impossible and generally leads to rejection unless mandatory law provides otherwise.

7.5 Outcome of complaints and remedies

7.5.1 A complaint does not automatically entitle the Customer to a refund. Company assesses based on evidence, legal standards, product type, availability and reasonableness.

7.5.2 Possible remedies include replacement where available and allowed, partial refund or store credit, depending on the circumstances and mandatory law.


8. Withdrawal, returns and refunds

8.1 No returns for food products

8.1.1 Food products, including frozen, chilled, fresh and shelf-stable goods, are non-returnable due to food safety and statutory withdrawal exceptions.

8.1.2 Unauthorised returns of food may be refused and/or destroyed without compensation.

8.2 Right of withdrawal (B2C, non-food only)

8.2.1 For non-food products, the Consumer may withdraw from the Agreement within 14 days after receipt unless a statutory exception applies.

8.2.2 The Consumer communicates withdrawal through the Official communication channel. Return shipment must follow within 14 days after the withdrawal notice, in original condition as far as reasonably possible.

8.2.3 Return costs are borne by the Consumer unless Company indicates otherwise or the product is non-conforming.

8.2.4 Company may charge for depreciation if the product has been used beyond what is necessary to establish its nature, characteristics and functioning.

8.3 Refunds

8.3.1 Refunds where applicable are made through the original payment method within the statutory periods after assessment or acceptance.

8.3.2 Export and documentation costs may be non-refundable once processing has started unless mandatory law provides otherwise.


9. Liability and force majeure

9.1 Liability – general

9.1.1 Company is not liable for indirect damages, including consequential loss, lost profits and reputational damage, to the extent permitted by law.

9.1.2 Direct damages are, to the extent permitted by law, limited to the amount of the relevant order.

9.2 Exceptions and mandatory law

These limitations do not apply to damage caused by intent or wilful recklessness of Company, nor to liability which cannot be excluded or limited under mandatory law, including where applicable product liability and personal injury.

9.3 External factors

Company is not liable for delay or damage caused by carriers, customs, authorities, infrastructure failures, extreme weather conditions or other circumstances beyond its reasonable control, subject to mandatory law.

9.4 Force majeure

9.4.1 Force majeure includes, among other things, war, pandemics, strikes, government intervention, import or export bans, transport blockades, failure of systems or infrastructure, extreme weather conditions and serious disruptions at carriers or suppliers.

9.4.2 In the event of force majeure, Company may suspend its obligations. Payment obligations for services already rendered remain due.

9.4.3 If force majeure lasts longer than 60 days, either party may terminate the Agreement for the unperformed part without damages.


10. Conduct, misuse, fraud and refusal of service

10.1 Standards of communication

Customer and Company must treat each other respectfully. Threats, intimidation, discrimination, doxxing, systematic insults or deliberately misleading claims may lead to restriction or termination of services.

10.2 Misuse and fraud

Misuse includes repeated unfounded claims without evidence, chargeback abuse, providing false information or structurally frustrating investigations. Company may require additional verification, refuse orders or terminate services to the extent permitted by law.

10.3 Refusal of service

Company may refuse future orders or block accounts in case of serious or repeated violations. Existing payment obligations and already accrued claims remain unaffected.

10.4 Payment disputes and platform procedures

A chargeback, PayPal dispute, payment dispute or procedure through a payment provider, marketplace or platform does not constitute a binding legal judgment, court ruling or final determination of liability.

The Company reserves the right, in such procedures, to fully submit and rely on its position, evidence, delivery records, communications and applicable terms and conditions, and to contest the Customer’s claim on the merits.

The opening of a case through a payment provider, marketplace or platform does not in itself mean that the Customer is substantively right or automatically entitled to a full refund, termination of the Agreement, damages or any other remedy.

To the extent permitted by law, the Agreement, the applicable policy documents and the ordinary rules of civil law between the parties remain in full force irrespective of the outcome of an internal payment-provider or platform procedure.


11. Privacy and data processing

11.1 Company processes personal data in accordance with the GDPR and the Privacy Notice.

11.2 Personal data is processed for order handling, shipping, customer service, fraud prevention, export documentation and legal obligations.

11.3 Retention periods follow the Privacy Notice and statutory obligations such as tax retention rules.


12. Intellectual property, assignment and final provisions

12.1 Intellectual property

All intellectual property rights in texts, images, designs, brands, logos, templates and documentation remain vested in Company or its licensors. Use without permission is prohibited.

12.2 Assignment of rights and claims

Company may assign its rights and claims under the Agreement to third parties, for example for collection or financing, subject to applicable law.

12.3 Severability

If any provision is void or voidable, the remaining provisions remain in force. The parties shall replace the invalid provision with a valid provision that most closely reflects its purpose and intent.

12.4 Entire agreement

These Terms, together with the order confirmation or quotation and written agreements, form the entire agreement and replace prior promises on the same subject.


13. Governing law and disputes

13.1 Governing law

Dutch law governs the Agreement.

13.2 Competent court

13.2.1 B2B: Disputes with Business Customers shall be submitted exclusively to the competent court in the Netherlands, district Midden-Nederland, location Lelystad, unless mandatory law provides otherwise.

13.2.2 B2C (EU): Consumers within the EU retain their statutory rights to bring proceedings before the competent court in accordance with applicable EU jurisdiction rules. A forum clause does not limit those rights.

13.2.3 The parties shall first seek an amicable solution through the Official communication channel.


Additional Regime B (B2B) – Retention of title

Where the Customer qualifies as a Business Customer (B2B), all goods delivered remain the property of Company until the Business Customer has fully paid all obligations under the Agreement, including interest and costs.

The Business Customer shall keep the goods properly stored, identifiable and insured where reasonable.

If the Business Customer is in breach, Company is entitled to reclaim the goods. The Business Customer grants advance permission for Company to enter locations where the goods are stored, to the extent permitted by law.
